- Month-to-month. Auto-renews at the end of each calendar month unless either party provides written notice of termination.
- Termination
- Either party may terminate with fifteen (15) days written notice. Notice may be delivered by email to the contact addresses on record.
Scope of services
In scope
- AI website development, management, and maintenance. Designing, building, deploying, and maintaining websites for Client and Client engagements. Initial builds, ongoing enhancements, and edit cycles driven by Client review feedback.
- Google Workspace management. Administration of Client's Google Workspace including user provisioning, group and access management, license rationalization, security baseline, and routine operational tasks.
- Google Tag Manager, data layer, and analytics tracking. Implementation, configuration, and ongoing management of Google Tag Manager containers, data-layer schemas, and analytics tracking (GA4 and equivalents) across Client websites and engagements.
- General upkeep and consulting support across other active Client engagements as they arise, scoped per request.
Out of scope
- New AI consulting external to the engagements named above. New AI initiatives, additional productization, or expansion to other Client business units will be quoted separately under a custom statement of work.
- Acejack productized AI services and managed agent deployments. These will be scoped under a separate agreement upon full development and validation of the productized stack.
Client provides
- Discovery transcripts. Client provides full discovery-conversation transcripts (audio recordings or written transcripts) for each new website engagement so Provider can build to Client's documented requirements.
- Review transcripts. Client provides review-conversation transcripts (audio or written) for each round of edits so Provider can implement requested changes accurately and traceably.
Hours and overage
- Monthly bucket
- 45 hrs per calendar month.
- Rollover
- Unused hours do not roll over to the next month.
- Tracking
- Provider tracks hours and reports to Client on request, and at minimum once per month with the invoice.
- Overages
- Hours beyond the monthly bucket require mutual written agreement (email is sufficient) and are billed at the prevailing hourly rate at the time of work.
Fees and payment
- Monthly fee
- $6,750 USD per month, flat.
- Invoicing
- Provider invoices Client on the first business day of each month for that month.
- Payment terms
- Net 15 days from invoice date.
- Late payment
- Invoices unpaid more than thirty (30) days past due may, at Provider's discretion, suspend further work until paid current.
- Pass-through costs
- Third-party costs (cloud infrastructure, software licensing, etc.) incurred on Client's behalf are billed at cost with line-item transparency, separately from the monthly retainer.
Standard terms
Work product
All work product specifically created by Provider for Client under this Agreement is owned by Client upon payment of the invoice covering the period during which the work was performed. Provider retains the right to use general methods, processes, know-how, and tools developed in the course of providing services, provided no Client-specific confidential information is disclosed.
Confidentiality
Each party will treat the other's non-public business, technical, and operational information as confidential, and will not disclose it to third parties without the other party's prior written consent. This obligation survives termination of this Agreement for a period of two (2) years.
Pre-existing materials
Each party retains ownership of materials, code, methods, and assets it brings to or develops outside the scope of this Agreement. No transfer of pre-existing IP is implied by this Agreement.
Independent contractor
Provider performs services as an independent contractor. Nothing in this Agreement creates an employer-employee relationship, partnership, or joint venture between the parties, and neither party has authority to bind the other to any contract or obligation. Provider is responsible for its own taxes, insurance, equipment, and overhead.
Limitation of liability
Each party's total liability under this Agreement is limited to the total fees paid by Client to Provider during the three (3) months preceding the event giving rise to the claim. Neither party is liable for indirect, incidental, consequential, or punitive damages.
Governing law
This Agreement is governed by the laws of the State of Tennessee, USA, without regard to its conflict-of-laws principles. Any dispute arising under this Agreement that cannot be resolved through good-faith discussion will be brought in a court of competent jurisdiction in Tennessee.
Entire agreement
This Agreement is the entire agreement between the parties on its subject matter and supersedes any prior or contemporaneous understandings. Amendments must be in writing and signed by both parties.
